Since the Company underwent state registration, Open Joint-Stock Company RusHydro has maintained and kept the JSC RusHydro shareholders’ register in accordance with the requirements of the Federal Law “On the Securities Market”, the Federal Law “On Joint-Stock Companies” and the Regulations on the holding or registers of holders of registered securities, approved by resolution of the FC of the Central Bank of Russia No. 27, dated 02 October, 1997,  and other regulatory and legal acts of the Russian Federation.

The register of JSC RusHydro shareholders includes information about each person registered, the quantity and categories (types) of the shares entered against each registered name, and other information envisaged by legal acts of the Russian Federation.

Decision of the Board of Directors of JSC RusHydro of 23 June, 2008 (Minutes No. 58) approved Open Joint Stock Company Central Moscow Depositary as the holder of the Company’s shareholders’ register.

A person registered in the JSC RusHydro shareholders’ register is required to notify the holder of the Company shareholders’ register immediately of any changes to its details.  If it fails to provide information about changes to its details, JSC RusHydro and the registrar are not liable for any losses caused in this connection.

An entry is made in the JSC RusHydro shareholders’ register at the request of the shareholder or nominal holder of the shares or, in cases envisaged by the Federal Law “On Joint-Stock Companies”, at the request of other parties within a period of three days of the documents stipulated in the regulatory and legal documents of the Russian Federation being submitted.  Regulatory and legal acts of the Russian Federation may set a shorter time limit for making an entry in a company’s shareholders’ register.

It is not permitted to refuse to make an entry in the JSC RusHydro shareholders’ register, except in the cases envisaged by legal acts of the Russian Federation.  In the event of a refusal to make an entry in the Company’s shareholders’ register, the holder of the JSC RusHydro shareholders’ register shall, within five days of the request being submitted for an entry to be made in the Company shareholders’ register, send the person requesting said entry a reasoned notification of the refusal to make the entry.

A refusal to make an entry in the JSC RusHydro shareholders’ register may be appealed in a court of law.  By court ruling, the holder of the Company shareholders’ register is required to make a relevant entry in the given register.

The holder of the JSC RusHydro shareholders’ register shall, at the request of the shareholder or nominal holder of shares, confirm its right to the shares by issuing an excerpt from the Company shareholders’ register, which shall not constitute a security.

The core business of the holder of the JSC RusHydro shareholders’ register — JSC Central Moscow Depositary is to hold registers of holders of registered securities of joint-stock companies of the Russian Federation.

JSC CMD holds licence No. 10-000-1-00255 to hold registers issued by the Federal Commission for the Securities Market on 13 September, 2002.

According to the ratings of Russian registrars for the first 6 months of 2007, JSC CMD held first place according to the general indicators.
