RusHydro’s Board of Directors recommends dividends for 2019 and approves AGM agenda

September 8, 2020. Moscow, Russia. PJSC RusHydro (ticker symbol: MOEX, LSE: HYDR; OTCQX: RSHYY) announces that the Company's Board of Directors held a meeting in absentia on September 7, 2020 to address dividend distribution for 2019 as well as issues related to the Annual General Meeting of Shareholders (AGM) which will be held on September 30, 2020.

The Board of Directors approved the agenda for the Annual General Meeting of Shareholders.

The Board of Directors has recommended to the AGM to approve the following distribution of profit for 2019 (in RUB mn):

The Board of Directors recommended the AGM to approve dividend in the amount of RUB 0.03568039 per share and recommended dividend record day – October 10, 2020. According to PJSC RusHydro’s Dividiend Policy, the dividend distribution is calculated as the average of dividends paid over the previous three years.

The Board of Directors included the following candidates for nomination to the Board of Directors:

  • Pavel Grachev, CEO, PJSC Polyus;
  • Alexey Kozlov, Assistant to Deputy Prime Minister of the Russian Federation;
  • Lev Kuznetsov, General Director, First Deputy of the Chairman of the Board of Directors of JSC UK Intergeo;
  • Yuri Manevich, Deputy Minister of Energy of the Russian Federation;
  • Vyacheslav Pivovarov, General Director, Altera Capital;
  • Mikhail Rasstrigin;
  • George Rizhinashvili;
  • Nikolay Rogalev, Chancellor, Moscow Power Engineering Institute, Federal Research University;
  • Dmitry Snesar, Department Director, Senior Vice President, VTB Bank;

The Board of Directors included the following candidates for nomination to the Company's Auditing committee:

  • Natalia Annikova, member of PJSC RusHydro’s Audit Committee;
  • Andrei Gabov, Deputy Director of the Department of the Ministry of Economic Development of Russia
  • Tatyana Zobkova, Deputy Head of Department, Ministry of Energy of the Russian Federation;
  • Yakub Malsagov, Chief specialist-expert of the Department of Management of the Federal Agency for State Property Management;
  • Igor Repin, Deputy Executive Director of the Association of Professional Investors.

The Board of Directors recommended the AGM to approve remuneration of the members of the Board of Directors based on their performance from June 28, 2019 to September 30, 2020 in the amount and under the procedure set in the Regulations on remuneration to members of the Board of Directors of RusHydro.

The Board of Directors recommended to the AGM JSC PriceWaterhouse Coopers Audit as the auditor of PJSC RusHydro’s financial accounting statements.

The Board of Directors recommended the AGM to approve new edition of the following internal documents of PJSC RusHydro:


- Articles of Association;

- Regulations on convening and holding general meetings of shareholders;

- Regulations on convening and holding meetings of the Board of Directors;

- Remuneration of the members of the Audit Committee;

- Remuneration of the members of the Board of Directors.

The Board of Directors took into consideration the information on evaluation independence of members of the Board of Directors, candidates to the Board of Directors at the AGM, Maksim Bystrov and Vyacheslav Pivovarov with the criteria specified in the listing rules of the PJSC Moscow Exchange and determined them as independent.
